We are a small, boutique business & transactions law firm supporting startups, established service businesses, and SMB buyers/sellers navigating acquisitions, agreements, governance, and everyday business operations.
Our work is structured, collaborative, and execution-focused — and we’re looking for an associate attorney who can plug into our system and help deliver excellent work product behind the scenes.
This role is non-client-facing. We handle all intake, requirements gathering, and client strategy. You will receive a clear brief, relevant context, and firm positions — then execute drafting, analysis, and support tasks with precision and sound judgment. We provide a lot of structure, guidance and framework, but you bring the expertise!

RESPONSIBILITIES (typical tasks)
• Draft business agreements based on firm guidance, parameters, and project objectives (service agreements, employment/IC agreements, partnership docs, governance materials, waivers, commercial contracts, etc.).
• Review third-party contracts and prepare issue lists, risk assessments, and recommended revisions.
• Prepare Memos of findings for internal review or for client guidance.
• Support micro-M&A tasks: LOI review, APA drafting assistance, schedules, diligence lists, and deal sequencing.
• Conduct targeted legal research and prepare concise, plain-English memos.
• Translate operational realities and deal terms into well-structured contract architecture.
• Work within firm playbooks, clause libraries, templates, and structured workflows.
• Maintain disciplined drafting practices, organized work product, and reliable turnaround times.

IDEAL EXPERIENCE (Required)
• 5+ years in business transactions, commercial contracts, startups, or M&A support.
• Strong drafting and contract-design skills (we don’t “crank out” generic templates).
• Familiarity with deal structures, risk allocation, and practical business implications.
• Experience working from structured briefs and turning requirements into clean, transaction-ready deliverables.
• Highly communicative, tech-forward, and comfortable in a systematic, collaborative environment.

• Not an ad-hoc “do whatever you think is best” drafting role — collaboration, discipline, and scope alignment matter
