This engagement is strictly limited to legal drafting quality and enforceability, not business negotiation or deal restructuring.
Scope of Work
Review two Operating Agreements and assess:
Legal clarity and internal consistency
Whether provisions are enforceable as written
Conflicts between sections
Ambiguous or contradictory language
Missing definitions, cross-reference errors, or structural defects
Whether rights, consents, and authorities are properly implemented in the document mechanics
Whether sunset, override, or carve-out provisions function legally as intended
Whether the agreements would be defensible and operable if enforced as written

This is not a review of:
Business fairness
Economic terms
Equity splits
Control preferences
“What should I negotiate”
I am not looking for deal advice or renegotiation suggestions — only whether the documents function legally as drafted.
